1. Acceptance of Terms
By accessing and using Cadence ("the Service"), you accept and agree to be bound by the terms and provision of this agreement.
2. Description of Service
Cadence provides a time tracking service integrated with Jira. The Service allows users to track time spent on Jira tasks and automatically sync worklogs.
3. User Accounts
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Subscription and Billing
- The Service is offered on a subscription basis with monthly or yearly billing options.
- Subscriptions automatically renew unless canceled before the renewal date.
- All fees are non-refundable unless otherwise specified.
- You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your billing period.
- We reserve the right to modify pricing with 30 days notice to existing subscribers.
5. Trial Period
New users may be offered a free trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
- Violate or infringe upon the rights of others.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Attempt to gain unauthorized access to any portion of the Service.
- Use the Service to transmit any malicious code or harmful content.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Cadence and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
8. User Data
You retain all rights to the data you input into the Service. We will not share your data with third parties except as necessary to provide the Service or as required by law.
9. Service Availability
We strive to maintain the availability of the Service but do not guarantee uninterrupted access. We may suspend or terminate the Service for maintenance, updates, or other reasons without prior notice.
10. Limitation of Liability
To the maximum extent permitted by law, Cadence shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.
11. Indemnification
You agree to indemnify and hold harmless Cadence from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cadence operates, without regard to its conflict of law provisions.
